To complete before going live: chosen payment service provider (§ 8), mediators (§ 13). This text must be reviewed by a lawyer before launch.
1. Who we are
Scribee (the "Platform") is published by Pastor Systems, a French single-shareholder simplified joint-stock company (SASU) with a share capital of €500, registered with the RCS of Draguignan under number 132 046 830, with its registered office at 185 boulevard des Remparts, Bâtiment Versailles C, 83300 Draguignan, France (the "Operator" or "Scribee"), which runs Scribee under this trade name. EU VAT number: FR68 132 046 830. Publication director: Adrien Pastor, President. Contact: contact@scribee.dev, +33 6 31 34 03 67. Hosting: Fly.io, Inc., 2261 Market Street #4990, San Francisco, CA 94114, USA (servers in Frankfurt, Germany).
2. What Scribee does — and does not do
2.1. Scribee is an online intermediation platform (article L. 111-7 of the French Consumer Code) connecting companies that entrust fixed-price projects (the "Clients") with independent professionals who carry them out (the "Talents"), together the "Users".
2.2. Scribee acts only:
- as a digital meeting place: project listings, proposals, electronic signature of contracts, exchanges, delivery of files;
- as a payment intermediary: each accepted milestone is paid by the Client by bank transfer and paid out to the Talent through a licensed payment service provider, under § 8. Scribee never holds the funds.
2.3. Scribee is not a party to the contract between a Client and a Talent (the "Project Contract"). It is not the employer, commercial agent, subcontractor or guarantor of any User. It performs no service on behalf of Talents and orders no service on behalf of Clients. Talents work independently, without any subordination, and freely organise their time and place of work.
3. Users: professionals only
3.1. The Platform is reserved for professionals acting for the purposes of their business: Clients are companies (registered or being registered); Talents are duly registered independent professionals (sole traders, companies, etc.). Consumer protection law does not apply to relationships arising from the Platform.
3.2. Each User warrants the accuracy of the information they provide (identity, registration, tax and social status) and remains solely responsible for their tax, social and reporting obligations. Talents alone owe the taxes and contributions on the amounts they receive. Under applicable rules (DAC7 directive, article 242 bis of the French Tax Code), Scribee may have to report Talents' income earned through the Platform to the tax authorities, and informs them accordingly.
4. Account
Sign-in uses an email address and a one-time code, without a password. Users are responsible for the use of their account and mailbox and report any unauthorised use without delay.
5. Projects, proposals and Project Contract
5.1. The Client describes the project under its sole responsibility (scope, acceptance criteria, budget, suggested dates). The Talent makes a fixed-price proposal split into milestones, with an amount and a due date for each milestone.
5.2. When the Client selects a proposal and both parties (and, for a team, each member Talent) sign it electronically, a Project Contract is formed directly between the Client and the Talent(s). Its content (scope, milestones, amounts, due dates, rounds of changes, review period) is frozen, time-stamped and identified by a SHA-256 fingerprint. Any change requires a change order accepted by both parties.
5.3. The operating rules provided by the Platform (payment of each milestone on acceptance, review within the period, tacit acceptance when it expires, limited rounds of changes, change orders, disputes) form part of the Project Contract, which the parties accept by signing it.
5.4. The Client and the Talent are solely responsible for performing the Project Contract: quality, conformity, deadlines, intellectual property, confidentiality, insurance and compliance with the rules applicable to the service. Unless the Project Contract provides otherwise, intellectual property rights in the deliverables are assigned to the Client as each milestone is paid, within the limits set by law.
5.5. Projects are carried out remotely. Occasional meetings may be agreed between the parties; they are organised under their sole responsibility.
6. Expected conduct
Users must not, in particular: publish unlawful or misleading content or content infringing third-party rights; upload malicious files (spec documents shared with every talent and talents' CVs are virus-scanned; files exchanged within a contract are encrypted end to end, so Scribee can neither read nor scan them, and each party checks what it downloads); bypass the Platform to pay for a project started on Scribee, or, for 12 months after first being put in touch through the Platform (a proposal, a talent page), contract directly with a Client or a Talent met there for a service that could be ordered on Scribee; impersonate anyone. Scribee may remove manifestly unlawful content and suspend or close an account in case of breach, stating its reasons, in accordance with Regulation (EU) 2019/1150 ("P2B").
7. Scribee's fee
7.1. Signing up, publishing projects and sending proposals are free.
7.2. Scribee charges a 10% fee excluding VAT on each paid milestone and on each paid period of a support plan (§ 8.5), deducted from the amounts paid to the Talent. The Client pays the price agreed in the Project Contract with no additional fee. Prices on the Platform are excluding VAT: a Talent registered for VAT charges it on top of the price, and the Client pays it with the price; a Talent under the French VAT exemption (art. 293 B of the French tax code) charges none. The fee is calculated on the price excluding VAT, invoiced to the Talent by Scribee with each payment and deducted together with the VAT on it (20%: 12% of the milestone's price excluding VAT). For a Talent established in another EU Member State and registered for VAT, the fee is invoiced without VAT under the reverse charge: only the fee is deducted.
7.3. Partner program. A company may be introduced to Scribee by a partner (agency, ESN) approved by Scribee, through a link or code used when its company account is created. The introduced Client is informed ("Introduced by …"). On the first Project Contract signed by that Client within 12 months, Scribee pays the partner half of its own fee: this share comes out of Scribee's remuneration and changes neither the price paid by the Client nor the amounts received by the Talent. Relations between Scribee and its partners are governed by a separate partner agreement.
7.4. Billing mandate. By saving their invoicing details, the Talent gives Scribee, which accepts it, a mandate to draw up and issue in the Talent's name and on their behalf the invoices for their accepted milestones and support-plan periods, addressed to the Client (art. 289, I-2 of the French tax code). These invoices are numbered in a series of the Talent's own, separate from their other invoices; they are issued electronically (PDF in the Factur-X format), which the Client and the Talent accept, and made available to both on the Platform as soon as they are issued. The Talent provides accurate, up-to-date details (identity, address, SIREN or SIRET, VAT regime and VAT number) and remains solely responsible for their tax and social obligations, in particular declaring and paying the VAT invoiced in their name. The Talent has 15 days from issue to dispute an invoice; otherwise it is deemed accepted. A mistake is corrected by a credit note issued in the same way. The Talent shall not issue an invoice of their own for the same services. The mandate ends, for future invoices, when the Talent's account is closed.
8. Payments
8.1. Payments are processed by [licensed payment service provider — Stripe, entity to confirm]; Scribee is not a payment institution and never holds the funds. Each Talent opens a payment account with the provider (identity checks, bank account) and each Client has a dedicated receiving account (IBAN) with it, to which it pays by bank transfer, accepting the provider's terms. By signing a Project Contract, the Client and the Talent instruct Scribee to pass on to the provider the payment instructions set out below.
8.2. Nothing is paid before the work. When a milestone is accepted by the Client, or tacitly accepted if the Client has not responded within the review period set in the contract, its amount, plus any VAT invoiced by the Talent (§ 7.2), is due by the Client and its invoice issued (§ 7.4), payable by transfer to its dedicated IBAN within 5 days, with the reference shown on the Platform. Sums the Client transfers in advance are kept by the provider and applied to the milestones accepted next; if unused within 75 days, the provider returns them. On receipt, the amount is paid to the Talent assigned to that milestone, less the fee (§ 7), which the provider pays to Scribee.
8.3. Late payment. The Client is notified the day before the due date, then as soon as the payment is late. While a payment is late, no new milestone can start and the Talent may suspend work on the milestones in progress until payment, without the agreed deadlines running against it during the suspension. Collecting a late payment is a matter between the Client and the Talent (§ 9.4). Payment processing costs are borne by Scribee.
8.4. In a dispute (§ 9), the milestone concerned is not due; it becomes due, in full or in part, only: (a) upon agreement of both parties through the Platform, (b) upon joint written instruction from the Client and the Talent, or (c) upon an enforceable court decision, arbitral award or approved mediation agreement. Scribee executes these instructions without assessing the merits of the parties' positions.
8.5. Support plans. After or during a project, the Talent may offer to keep it running (hosting and domain, updates, small changes, a response time when something breaks) for a monthly and/or yearly price: a support plan, separate from the Project Contract.
(a) The plan lists the Talent's commitments; the Talent alone guarantees them. Scribee records them, collects the payments and applies the rules below; it does not carry out the work.
(b) A company admin accepts the plan for the Client, choosing monthly or yearly billing, and authorises Scribee to debit the Client's bank account each period by SEPA direct debit, under a mandate signed on the payment provider's page. The first period is debited on acceptance; each period is paid to the Talent less the fee (§ 7).
(c) A monthly plan may be cancelled at any time, effective at the end of the month already paid. A yearly plan renews automatically each year; both parties are reminded 30 days before the renewal date and the Client may cancel it until that date. The Talent may cancel at the end of the period already paid.
(d) The Client may report a problem through the Platform. If the Talent does not answer it within the response time stated in the plan, the Client may stop the plan at once and the current period is refunded (in full for a monthly plan, for the time left for a yearly plan), the Talent's share and the fee included.
(e) A debit refused by the Client's bank is attempted again after 1, 3 and 7 days; if it still fails, the plan ends. A debit the Client has its bank reverse is followed up as a payment dispute.
(f) The Client owns the domain and the accesses created for it; the Talent hands them over on request, including when the plan ends.
9. Disputes between Client and Talent
9.1. Scribee does not arbitrate disputes between Users and makes no decision. It only offers an amicable settlement procedure, which does not deprive any party of its right to go to court.
9.2. Only the Client may open a dispute, on a single milestone, when: every round of changes has been used and the delivery is still contested; or the Talent has shown no activity on the milestone for 14 days; or the milestone's due date has passed by more than 14 days. The milestone becomes "to be decided"; milestones already accepted are final and the parties carry on with the next milestones.
9.3. Each party gives its account. Without agreement, the Platform automatically suggests an equal split (50/50) of the milestone amount after 3 working days, then a last time on day 14, with 7 days to answer. These suggestions are non-binding settlement proposals, with no assessment of liability. If both parties expressly accept, that agreement is a settlement (articles 2044 et seq. of the French Civil Code) on the milestone and an irrevocable instruction to charge the agreed share. Silence never amounts to acceptance.
9.4. Failing agreement, it is for the Client or the Talent, as the case may be, to have the dispute decided by the means of their choice: mediation, arbitration, or the competent commercial court (or any other court), as provided in the Project Contract or, failing that, under ordinary rules. Scribee is not a party to these proceedings. At the request of a party or an authority, it provides the time-stamped records it holds (signed versions, fingerprints, deliverables, exchanges).
10. Limitation and exclusion of liability
10.1. Scribee provides an intermediation and payment-intermediary service. It is not liable for the performance or non-performance of Project Contracts, the quality, conformity or lawfulness of services and deliverables, delays, information published by Users, their solvency, or any damage a User causes to another User or a third party. Scribee does not verify Talents' skills or Clients' needs beyond the technical checks it describes.
10.2. Scribee is bound by a best-efforts obligation to operate the Platform, which may be temporarily unavailable for maintenance or in case of incident.
10.3. To the extent permitted by law, Scribee's liability towards a User, for all causes combined, is limited to direct and foreseeable damage resulting from a proven breach of its own obligations, and capped at the fees received from that User or for that User's projects in the 12 months preceding the event. Indirect damage, including loss of revenue, customers, data or opportunity, is excluded.
10.4. These limitations do not apply to gross negligence or wilful misconduct by Scribee, to personal injury, or where the law prohibits them.
10.5. Each User indemnifies Scribee against any claim by a third party or another User arising from its content, deliverables or the performance of its Project Contracts.
11. Personal data and cookies
Scribee processes personal data in accordance with the GDPR: minimal data, hosting in the European Union, self-service export and account deletion. Only a strictly necessary session cookie is set after sign-in; no advertising trackers or analytics. Files exchanged within a contract (and spec documents reserved for the hired talent) are encrypted end to end in the Users' browsers: Scribee cannot read them. To open them, each browser keeps its own key, which is strictly necessary and never used for tracking. These files are deleted 7 days after their milestone ends (paid, cancelled, or closed without charge after a dispute), and reserved spec documents 7 days after the contract is signed; each party keeps the copies it needs. Contractual and accounting records are kept for the legal retention periods.
12. Transparency (article L. 111-7 French Consumer Code, P2B Regulation)
Projects are listed by search relevance, then by publication date; no ranking is paid for. Proposals are shown to the Client by date received. Scribee sells no promotion. Contractual relationships arise directly between Clients and Talents (§ 2).
13. Complaints and mediation (Users / Scribee)
Complaints about the Platform are sent to [email — to complete]; Scribee answers within a reasonable time. Under the P2B Regulation, Scribee designates the following mediators for disputes with a professional User: [mediator 1 — to complete] and [mediator 2 — to complete]. The French Business Mediator (Médiateur des entreprises, a free public service) may also be contacted.
14. Term, termination, changes
These terms apply for as long as the Platform is used. Users may delete their account at any time, subject to ongoing Project Contracts. Scribee may amend these terms by informing Users at least 15 days in advance; a User who refuses them may delete their account. Project Contracts already signed remain governed by the version in force when they were signed.
15. Governing law and jurisdiction (Users / Scribee)
These terms are governed by French law. Any dispute between Scribee and a User about their interpretation or performance falls, failing amicable settlement, within the exclusive jurisdiction of the commercial court of the Operator's registered office, including in case of multiple defendants or third-party claims. This clause does not apply to disputes between Clients and Talents, which are governed by § 9.4.
The French version of these terms prevails.
